By submitting any materials through our website, portal, email, or other designated method, you agree to be bound by these Terms. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts. If submitting on behalf of a group, label, or entity, you represent that you have full authority to bind that entity. 2. Your Representations and Warranties You represent and warrant that: You are the sole author/creator or own/control 100% of all rights (copyright, neighboring rights, publicity, etc.) in the Submission, including the sound recording and underlying musical composition(s). The Submission does not infringe any third-party rights (copyright, trademark, privacy, publicity, contract, etc.). You have obtained all necessary permissions, licenses, or clearances for any samples, interpolations, covers, features, or third-party elements. If the Submission is a cover song, you have secured all required mechanical licenses (or they are in process via statutory mechanisms where applicable). The Submission does not contain unlawful, defamatory, obscene, or harmful content. You will promptly provide chain-of-title documentation or proof of rights if requested. 3. License Grant In consideration of us reviewing your Submission, you grant us a non-exclusive, worldwide, royalty-free, perpetual (unless you withdraw per Section 7), sublicensable license to: Test your file for AI using modern AI detection models and human analysis. Reproduce an AAC 320 kbps watermarked file copy of your Submission, store, and display the copied Submission internally for internal reference. The watermarked file will be processed by Trusted Audio and will contain the song name, artist name, composer, and date of watermarking. You will receive in email a copy of the watermarked submission. Use excerpts for promotional purposes related to our platform/services for song previews or featured music. We do not claim ownership of your Submission. You retain all copyright and ownership rights. 4. No Obligation / No Consideration We have no obligation to review, respond to, provide feedback on, accept, release, promote, or use your Submission. Submission does not create any confidential relationship, fiduciary duty, or implied contract. We may (but are not required to) provide feedback; any feedback is gratuitous and non-binding. 5. Prohibited Submissions You agree not to submit material that: Infringes any intellectual property rights (including copyrights, trademarks, or other proprietary rights) of any third party; Violates any applicable laws or third-party rights (including privacy, publicity, contract, or moral rights); Contains malware, viruses, spam, fraudulent content, or any code designed to interrupt, destroy, or limit the functionality of our services; Promotes hate speech, violence, discrimination, illegal activity, self-harm, or terrorism; Is wholly or in part created, composed, produced, or generated by artificial intelligence (including but not limited to AI-generated lyrics, melodies, beats, vocals, instrumentation, or other audio elements, whether fully automated or human-edited); or Is otherwise objectionable in our sole discretion. We may reject, remove, decline to review, or report any Submission that violates these prohibitions, at our sole discretion, without notice or liability to you. Submission of prohibited material may also result in termination of your access to our submission services. 6. Indemnification You agree to indemnify, defend, and hold us (and our officers, directors, employees, partners) harmless from any claims, losses, damages, liabilities, costs (including reasonable attorneys' fees) arising from: Breach of your representations/warranties Third-party claims related to your Submission Your violation of these Terms 7. Withdrawal / Termination You may request withdrawal of your Submission by contacting info@purehumanmusic.com. We will use reasonable efforts to cease internal use (except archival copies for legal/compliance purposes). This does not affect any rights already exercised under the license. 8. Limitation of Liability To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your Submission or these Terms. Our total liability shall not exceed $100 USD. 9. Digital Millennium Copyright Act (DMCA) Policy and Notice-and-Takedown Procedure Pure Human Music, LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe that any Submission or other material available through our services infringes your copyright, you may submit a written notification to our designated DMCA agent pursuant to Section 512(c) of the DMCA. Designations must be kept current and renewed every three years via the online system. Requirements for a Valid DMCA Takedown Notice To be effective, your notice must be in writing and include substantially the following (as required by 17 U.S.C. § 512(c)(3)): A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g., direct URL or clear description of the Submission). Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Send notices to the Designated DMCA Agent listed above (preferably by email for faster processing). Our Response to Notices: Upon receipt of a valid (or substantially compliant) takedown notice, we will expeditiously remove or disable access to the allegedly infringing material. We may notify the submitter/user of the action taken and provide them with a copy of your notice (excluding personal contact info). Counter-Notices: If your Submission has been removed or access disabled pursuant to a takedown notice, and you believe it was removed or disabled by mistake or misidentification, you may file a counter-notice with our Designated DMCA Agent. Your counter-notice must include: Your physical or electronic signature. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access disabled. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located (or, if outside the United States, for any judicial district in which we may be found), and that you will accept service of process from the person who provided the original notification or an agent of such person. Upon receipt of a valid counter-notice, we may replace the removed material or cease disabling access (generally after 10–14 business days) unless the copyright owner files a court action seeking a restraining order. Repeat Infringer Policy: It is our policy, in appropriate circumstances and at our discretion, to terminate or disable access privileges of users who are repeat infringers (including those who have had Submissions repeatedly removed under the DMCA process). Misrepresentations: Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material or activity is infringing, or that material was removed by mistake/misidentification, may be subject to liability. No Liability for Takedowns: We are not liable to any user or third party for our good-faith removal or disabling of access to material pursuant to a DMCA notice, even if the material is ultimately determined not to be infringing. This DMCA policy may be updated from time to time. Continued use of our submission services constitutes acceptance of the current policy. 10. Governing Law These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in St. Johns County, Florida. 11. Changes to Terms We may update these Terms at any time. Continued submissions after changes constitute acceptance of the revised Terms. 12.
